1) Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of portaproducts.com (the “Site”), our WooCommerce store, and related services (collectively, the “Service”). By accessing the Service or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2) Eligibility & Accounts

You must be the age of majority in your jurisdiction to purchase. Account holders are responsible for maintaining accurate information and safeguarding login credentials. You are responsible for all activity under your account.

3) Products & Marine Use

Portā Products designs and sells marine performance hardware and accessories (for example, adjustable transom brackets, jack plates, mounting hardware, and related components). Product descriptions, images, specifications, and compatibility guidance are provided in good faith and may be updated without notice.

  • Fitment & Compatibility: Boat models, engines, and rigging vary. Verify dimensions, loads, and compatibility before ordering. Contact us with pre-sales questions.
  • Environmental Use: Marine environments are harsh. Inspect equipment regularly for corrosion, wear, or damage, and replace consumables/hardware as needed.
  • Professional Judgment: Your use of any product is at your discretion and risk. Always follow applicable boating regulations and manufacturer guidance.

4) Orders & WooCommerce Checkout

  • Offer & Acceptance: Your order is an offer to buy. We may accept or reject any order (e.g., for suspected fraud, errors, or availability). If an order is canceled after payment, a refund will be issued to the original method.
  • Backorders/Preorders: Estimated ship dates are not guaranteed and may change. We will notify you of material delays.
  • Accuracy: We strive for accuracy but cannot guarantee content is error-free. Minor variations (e.g., finishes) may occur.

5) Pricing, Taxes & Availability

Prices are shown in USD unless noted and may change without notice. You are responsible for applicable taxes, duties, and fees. Availability is not guaranteed; we may limit quantities per order/customer.

6) Payments & Billing

  • Payment Methods: We accept the methods displayed at checkout (e.g., credit/debit cards, WooCommerce Payments, PayPal, etc.).
  • Authorization: By submitting a payment, you represent you are authorized to use the method and authorize charges for products, shipping, taxes, and any applicable fees.
  • Chargebacks: Please contact us at sales@portaproducts.com to resolve issues prior to filing a dispute. Unfounded chargebacks may lead to account restrictions.

7) Shipping, Delivery & Risk of Loss

  • Destinations & Rates: Shipping options, costs, and estimated delivery windows are shown at checkout. Large or oversized items may require freight.
  • Risk of Loss: Title and risk of loss transfer to you upon our delivery to the carrier (FOB origin), unless otherwise required by law.
  • International Orders: You are responsible for customs duties, VAT/GST, import fees, and compliance with local regulations. Carrier and customs delays are outside our control.

8) Installation & Safety

Many products are performance or structural components and must be installed correctly. Improper installation can result in property damage, personal injury, or death.

  • Qualified Installer: We strongly recommend installation by a qualified marine technician following all instructions, torque specs, and safety procedures.
  • Inspection & Maintenance: Inspect mounting points, fasteners, hydraulics, and electrical connections at regular intervals and after impact events.
  • Operating Limits: Do not exceed rated loads, horsepower, or operating ranges. Always operate your vessel responsibly and within regulations.

9) Returns, Exchanges & Cancellations

Unless a separate policy is linked at checkout, the following applies:

  • Return Window: You may request a return within [30] days of delivery for eligible, unused items in original packaging. Proof of purchase is required.
  • Exclusions: Custom, made-to-order, used, installed, damaged, or final-sale items are not returnable unless defective on arrival.
  • Process: Contact sales@portaproducts.com for an RMA before shipping items back. Unauthorized returns may be refused.
  • Fees: Unless the return is our error, you are responsible for return shipping. A restocking fee may apply.
  • Cancellations: We will attempt to honor cancellation requests received before an order ships. Shipped orders must follow the returns process.

10) Limited Warranty & Exclusions

Portā Products warrants that covered products will be free from defects in materials and workmanship under normal, intended use from delivery, unless a different period is specified in the product documentation.

  • Remedy: At our option, we will repair, replace, or refund the purchase price of a defective product returned during the warranty period.
  • Exclusions: Damage from improper installation, misuse, accidents, racing/competition, modifications, corrosion due to inadequate maintenance, or normal wear is not covered.
  • Procedure: Contact sales@portaproducts.com with proof of purchase, photos, and a description of the issue. We may require inspection before determining coverage.
  • Disclaimer: Except as stated, we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability and fitness.

11) User Reviews & Content

By submitting reviews, photos, or other content, you grant us a worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Service and our marketing. You represent you own the content and it does not infringe others’ rights. We may moderate or remove content at our discretion.

12) Prohibited Uses

You agree not to: (a) use the Service unlawfully; (b) interfere with or disrupt the Site; (c) attempt to access non-public areas; (d) use bots or scraping without written consent; (e) misrepresent your identity; or (f) reverse engineer any part of the Service except as allowed by law.

13) Intellectual Property

All trademarks, logos, graphics, product names, documentation, text, and images on the Site are owned by or licensed to Portā Products and protected by applicable laws. You may not copy, distribute, or create derivative works without our prior written consent.

14) Google Analytics & Google Ads

We use Google Analytics to understand how visitors use our Site and Google Ads for advertising and remarketing. These services may use cookies and similar technologies to collect information about your interactions with our Site and other websites over time.

16) Disclaimers & Limitation of Liability

Except as expressly stated, the Service and products are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Portā Products is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to a purchase will not exceed the amount you paid for the product(s) at issue in the 12 months prior to the claim.

17) Indemnification

You agree to defend, indemnify, and hold harmless Portā Products and its affiliates, officers, employees, and agents from and against claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, breach of these Terms, or violation of law or third-party rights.

18) Governing Law & Disputes

These Terms are governed by the laws of Florida/United States, without regard to conflict-of-law rules.

19) Changes to the Service & Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms periodically. Material changes will be posted here with a new “Last Updated” date. Continued use after changes become effective signifies acceptance.

Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (e.g., severe weather, supply-chain disruptions, labor disputes, power/internet outages, government actions).
